**Impugned [Order and Parties Filing the Petition](https://section1.in/protest-petition-cannot-be-filed-against-the-order-of-the-magistrate-taking-cognizance/)**

The petition is filed by petitioners M/s. A3V Cinemaz (represented by its proprietor
N. Vemal) and Vemal challenging the conditional suspension of sentence order dated
04.08.2026 passed in Crl.M.P.No.1 of 2026 in Crl.A.No.1086 of 2026 by the XV Additional
City [Civil](https://section1.in/civil-case/) Court, Chennai. In the impugned order,
the [Appellate Court](https://section1.in/reversal-of-acquittal-appellate-court-cannot-reverse-the-acquittal-on-fresh-appreciation-of-evidence-and-without-recording-any-illegality-error-of-law-or-of-fact-in-the-trial-court-judgment/)
granted suspension of sentence following conviction under Section 138 of the Negotiable
Instruments Act, 1881, but imposed a condition requiring the petitioners to deposit
a sum of Rs. 10,00,000/- towards the compensation amount to the credit of S.T.C.
No.108 of 2022 within sixty days. The petitioners [invoked the jurisdiction of the High Court under Section](https://section1.in/section-451-cr-p-c-petition-for-disposal-return-of-property-cannot-be-filed-directly-by-invoking-article-226-without-invoking-section-451-cr-p-c-before-the-concerned-court/)

**Factual Matrix**

The [criminal prosecution](https://section1.in/anticipatory-bail-civil-claims-being-settled-by-pressurising-through-criminal-prosecution-discouraged/)
originated from a complaint filed by respondent M/s. Arasu Films (represented by
proprietor Mr. B. Gopi) under Section 138 of the Negotiable Instruments Act, 1881
in S.T.C.No.108 of 2022, alleging the dishonour of a [cheque issued](https://section1.in/s-138-n-i-act-would-not-attract-if-the-part-payment-made-before-encashment-of-the-cheque-issued-for-the-original-amount/)
in connection with an alleged loan transaction of Rs. 3 Crores. Following trial,
the Trial Court convicted the [accused petitioners for the offence punishable under Section](https://section1.in/custody-death-or-station-death-if-the-death-takes-place-inside-the-police-station-the-accused-persons-should-be-punished-for-the-offence-under-section-302-ipc/)
138 of the Negotiable Instruments Act, 1881 and directed compensation. The petitioners
subsequently preferred a [criminal appeal](https://section1.in/suspension-of-sentence-appeal-seems-to-be-remote-and-having-regard-to-the-huge-pendency-of-criminal-appeals-in-the-high-court-bail-ordered/)
in Crl.A.No.1086 of 2026 along with Crl.M.P.No.1 of 2026 before the XV Additional
City Civil Court, Chennai for suspension of sentence, wherein the Appellate [Court passed the conditional order directing](https://section1.in/madras-high-court-directed-vigilance-to-inquire-about-a-senior-counsel-receiving-rs-50-lakh-as-fees-to-give-judge-to-get-order/)
a deposit of Rs. 10,00,000/- within sixty days.

**Core Legal [Arguments](https://section1.in/oral-hearing-is-non-negotiable-non-cooperation-by-defence-counsel-requires-amicus-appointment-not-ex-parte-verdict/)
in nutshell **

The learned counsel appearing for the petitioners argued that a strong _prima facie_
case had been established to demonstrate that the complainant failed to prove the
[offence under Section 138 of the Negotiable Instruments Act](https://section1.in/pmla-pc-act-prosecuting-the-person-accused-of-an-offence-under-section-131e-of-the-pc-act-as-well-as-for-an-offence-under-section-3-of-pmla-would-not-amount-to-double-jeopardy/),
1881 beyond reasonable doubt, as the statutory presumption under Section 139 was
categorically rebutted. Specifically, cross-examination of the complainant (PW.1),
along with the [company’s bank](https://section1.in/freezing-of-accused-companys-bank-account-for-17-years-is-not-proper-company-is-permitted-to-withdraw-amount/)
statements, established that the complainant possessed no proper source of income
or requisite bank balance to lend a sum of Rs. 3 Crores. Furthermore, the income
tax return produced before the [Trial Court](https://section1.in/22786-2/) revealed
a net income of only Rs. 19,29,056/- for the relevant year, establishing the complainant’s
lack of financial capacity. Consequently, the petitioners asserted that enforcing
a deposit of Rs. 10,00,000/- under Section 148 without evaluating these [exceptional circumstances](https://section1.in/in-exceptional-circumstances-the-court-may-grant-anticipatory-bail-to-an-absconder-but-a-co-accuseds-acquittal-does-not-ipso-facto-entitle-him-to-a-b-relief/)
was unjustified and contrary to law.

**[Ratio Decidendi](https://section1.in/ratio-decidendi-failing-to-inform-the-accused-of-the-grounds-of-arrest-denying-the-opportunity-to-defend-through-counsel-and-failing-to-provide-information-about-the-proposed-remand-is-unconstituti/)**

148 of the Negotiable Instruments Act, 1881 empowers the Appellate Court to direct
a minimum deposit of 20% of the fine or compensation pending an appeal against conviction,

such as demonstrating the complainant’s total lack of financial capacity to advance
the alleged loan amount imposing the deposit condition of 20% or a substantial compensation
sum under Section 148 can be unjust or amount to a deprivation of the right of appeal.
In such exceptional cases, the Appellate [Court is justified in suspending sentence under Section](https://section1.in/section-482-crpc-only-high-court-has-the-power-to-direct-to-run-sentences-in-two-different-cases-concurrently/)

**Conclusion**

The High Court held that the [Supreme](https://section1.in/supreme-court-on-corporate-criminal-liability-the-new-three-stage-test-for-attributing-mens-rea-to-a-company/)
Court precedent in _Jamboo Bhandari_ was squarely applicable to the case on hand,
as the petitioners successfully established a _prima facie_ exceptional case to
not impose any deposit condition under Section 148 of the Negotiable Instruments
Act, 1881^([1][2]). Consequently, the High Court allowed the Criminal Original Petition,
deleting the [condition imposed by the XV Additional City Civil Court](https://section1.in/no-onerous-bail-conditions-condition-imposed-by-the-honble-high-court-directing-the-accused-to-demolish-the-wall-of-the-complainant-at-accuseds-cost-tantamount-to-deprivation-of-civil-righ/),
Chennai in M.P.No.1 of 2026 in C.A.No.1086 of 2026 requiring a deposit of Rs. 10,00,000/-
as compensation, while extending the time for execution of sureties until September
18, 2026
